Terms of Use

These terms of use the (hereinafter “Terms” or “Agreement”) contain the terms and conditions pursuant to which you may access and use the website owned and operated by theRIPregistry (the “Site”).  Each time you access this Site you are acknowledging and agreeing to be bound by the Terms.  These Terms may be updated from time to time and it is your obligation to review the Site each time you visit to ensure you are aware of the most current Terms.  theRIPregistry, and its Affiliates and Suppliers (as defined below) are referred to in this Agreement as “we,” “us,” and “our.” You, the Person visiting and utilizing this Site, are referred to as “you”, “your” or the “Member”.

1. PROVIDERS OF PRODUCTS. The products and product features (“Product” or “Products”) available via this Site are provided by theRIPregistry (“theRIPregistry.com”, “us” or “we”). We may also partner with other companies (“Suppliers”) or affiliates to provide or sell you a Product.
2. ACCESS TO SITE, USE AND GOVERNING LAW. Access to, and use of, this Site is subject to all laws and regulations applicable in the Province of Ontario. This Agreement is made and will be interpreted under Ontario law, and you submit to the exclusive jurisdiction of Ontario courts located in Toronto.  Notwithstanding Ontario laws and regulations, individuals residing in or accessing the Site in an area where the access to or use of the Site or any part of is illegal or prohibited are not permitted to use the Site. It is your responsibility to determine if you can legally use the Site in compliance with all applicable laws. Please be aware that certain Products and/or Product features may not be offered, applicable or available to you based on residency, age or other eligibility criteria or factors. Persons accessing this Site are required to obtain information about and observe any relevant restrictions.   

If any term or condition in these Terms is found to be unlawful, void, or for any reason unenforceable, then that provision shall be deemed to be severable from the rest of the Terms and shall not affect the validity and enforceability of any remaining provisions of the Terms. There are terms, exclusions and conditions of the written contracts relating to Products mentioned on this Site are not fully described on the Site or in this Agreement. Their interpretation is governed by the terms and conditions of the written contract you enter with us, and by any applicable laws and regulations.

3. REGISTRATION; USE OF PRODUCTS.In order to purchase Products, you must complete the registration process and become a Member. You may register to purchase Products from this Site only on behalf of yourself. By registering, you further certify that you are eighteen (18) years or older and that all of the information provided in your registration is true, accurate, complete and up to date. During registration you must also establish a user identification (“User ID”), a password and/or personal identification number (“PIN”). You agree to keep them strictly confidential and not to share them with others. 

You further agree to abide by all of the terms and conditions concerning your use of the Products, including any specific terms and conditions relating to particular Products that you purchase. You agree that you will not use the Products for any other purpose.

4. With the exception of Our Report Products, all of our Products require that you establish a continuing membership. This form of membership is sometimes referred to as a “continuity plan.”  Once established the memberships automatically renew indefinitely without further action by you.  Currently there are no membership fees. We reserve the right to charge a fee and/or increase or decrease the membership fee associated with your Membership or Product from time to time with or without notice and you agree that unless you cancel your membership prior to the effective date of any such fee increase, you will be charged the scheduled new membership fee.
5. FREE TRIALS/FREE MEMBERSHIPS; CONVERSION TO PAID MEMBERSHIP.Whenever offered, FREE memberships or free trials of our Products may require that you enroll as a Member. This enrollment obligates you to continue your membership beyond the expiration of the free trial period unless you take the steps necessary to cancel your membership. You should carefully consider these obligations before attempting to enroll in any FREE Membership or FREE Trial. You may cancel your membership at any time without charge or further obligation by calling our Customer Service Center from 8 a.m. to 8 p.m. EST, 5 days a week at Toll-Free 1-888-3-the-RIP (1-888-384-3747) or calling 416-747-RIP-0 (416-747-7470) or sending your request by email to management@theRIPregistry.com.  We reserve the right to impose quantity limits to free memberships/free trials of our Products and we may refuse to register you to obtain any of our Products for any reason, including any of our Products that may be offered by means of a free membership / free trial

8. PRODUCT CANCELLATION. You may cancel any subscription-based Product at any time. To cancel your membership, please contact our Customer Service Team from 8 a.m. to 8 p.m. EST, 5 days a week at management@theRIPregistry.com. Once your product has been cancelled, you will receive a confirmation. It is important to note that once you have cancelled your membership, we are not obligated to maintain your information for future access by your next of kin.   Your product will fall into an inactive state and may be removed from the database.  Should your next of kin require access a charge of $200 is applicable to provide an authorization code to access your site.  Should you wish to reactivate your site once it has been cancelled and if it has not been deleted a charge of $100 will apply.
9. CHANGES TO PRODUCTS, PRICING, AND TERMS; TERMINATION.We may apply a small charge or change the prices for our Products at any time, without notice, and you will be charged the new price for all future purchases or renewals of Products.
10. PRODUCT AVAILABILITY. In the event that certain Products and/or Product features may not be offered, applicable or available to you based on residency, age or other eligibility criteria or factors, you will be notified during the course of the registration process and your registration for such Products or Product features will not be accepted. In such cases, you may be advised of one or more alternative Products, to the extent that other Products are available. In the event that you are advised of the availability of alternative Products, you should carefully evaluate any such Product to determine its suitability. In addition to the foregoing, we reserve the right to reject your Registration or any Product order for any By registering on this Site, you agree that we will not be liable to you for loss or damage that may result from our rejection of any order that you may attempt to place.
11. ACTIVATION/PROMOTIONAL CODES.If you are using an activation or promotional code (“Code”) you will be required to provide your Code during the course of your enrollment process in order to complete your order for the Product that corresponds to your Code.  Your Code may have an expiration date beyond which your Code will no longer be valid.  If your Code is entered incorrectly, has expired, is invalid or otherwise not accepted, and/or you are a charged a fee, the fee(s) charged will not be refunded.

10. ALL PRODUCTS REQUIRE ELECTRONIC COMMUNICATIONS. Unless otherwise noted, our Products are internet-based and in order to access our Products you must have: an internet browser that supports 128-bit encryption; an email account and appropriate email software; a personal computer, operating system and connection to the internet, or in the case of our mobile Product features, a wireless device, software and connection to the internet capable of supporting the foregoing; and sufficient electronic storage capacity on your computer’s hard drive or other data storage unit or a printer that is capable of printing from your browser and/or email software.

You further understand and acknowledge that this Agreement will be entered into electronically, and you consent and agree that any and all information about this Agreement, our relationship with you, our Privacy Policy, your membership and any further notices or communications will be provided to you by electronic means.

In order to ensure your continuing access to your Product, you agree to update your email address on file whenever your email address changes. An email code will be sent to your phone in order to activate your new email and replace your old one.  If you require further assistance and are unable to change your email address, please contact our Customer Service Team from 8 a.m. to 8 p.m. EST, 5 days a week at management@theRIPregistry.com. A small administration fee of $25 is applicable to replace your email account at which point you will receive an authorization code.  You further acknowledge that we may send you e-mails which include notices about your membership as well as information pertaining to the Products. Please note that mobile messaging and data rates may apply and you should consult with your Carrier prior to enabling any mobile feature associated with your Product.

11. NO GUARANTEE OF PRODUCT AVAILABILITY.Because of the nature of internet and online communications, this Site or the Products may not perform as intended despite our efforts, those of your internet service provider, and yourself. We do not guarantee uninterrupted or error free operation of your Product or this Site. In addition, your use of a Product that is excessive or in a manner not contemplated by this Agreement may also result in a Product not performing as intended. We will use reasonable efforts to maintain operation of the Site and availability of the Products at all times. If there is a system error or other problem concerning your Product, you agree to promptly notify us of the same, we will try to correct the error, but you will not be entitled to any compensation, money or refund as the result of any error.
12. REPORT PRODUCTS.If you purchase a one-time Report Product, the resulting report will be accessible online for a period of thirty (30) days from the date you order the report. If you would like to be able to refer to the report beyond the 30 day period that it is available online, you must print the report within the 30 day period. The report will not update during the 30 day period that it is available online. If you order a Report Product while you are an active Member of a subscription-based Product, You may view the resulting Report Product online for twelve (12) months (the report will not update during this period) from the date that you ordered the report, provided that you maintain your membership during that time. If you cancel your enrollment, your report will no longer be available as of the date you cancel and you must print the report prior to cancellation if you would like to be able to refer to your report beyond that time.
13. REACTIVATING A MEMBERS ACCOUNT.When an account has been inactive, there will be a reactivating fee of $250.00 per member, plus any other associated fees required as per the terms and services noted in this agreement.
14. The information, materials, text, graphics, images, logos, site design, and the selection, assembly, and arrangement of the Site (collectively “Content”)  is proprietary in nature and protected by applicable Canadian copyright and trade-mark laws, as well as by the copyright and trade-mark laws of other countries.  The Content cannot be altered without infringing on our rights, including without limitation our moral rights.  As such, you may not remove, alter or cover any copyright or other proprietary notices placed on this site or on products or related Content acquired through this Site. We, collectively or individually, retain ownership of all intellectual property rights in this Site, including without limitation the Content.  For the avoidance of doubt, the Content may not be copied, distributed, displayed, modified, reproduced, performed, published or reverse engineered in whole or in part without our prior written permission.
15. PERSONAL INFORMATION; AUTHORIZATION.In order to provide Products to you, you must provide us with certain personal information about yourself.  You consent, authorize and instruct us to collect, use, monitor, compile and disclose your personally identifiable information. By signing up and/or placing your order, you acknowledge and agree that your access to the Products and any personally identifiable information contained therein is subject to your prior written authorization and our approval of your order. By signing up and/or submitting your order, you acknowledge receipt of our Privacy Policy and agree that we may use and share your personal information in accordance with our Privacy Policy, which is incorporated by reference into this Agreement.
16. SECURITY, COOKIES AND LINKS.It is highly recommended that you use your own personal devices to access your membership, whether it be an iphone, android, tablet and/or ipad or PC and do not use any public devices or location to access your membership/portfolio.  This is to protect you. Also Note: Once you have gained access to the Site, it is highly recommended that you do not leave the computer terminal until you have left the Site.  We do not warrant that any information, software or other material accessible through the Site or through links to other web sites are free of viruses, worms, Trojan horses or other harmful components. Without the use of encryption, communication through the internet or electronic communication is not secure and privacy cannot be ensured. 

The Site uses cookies. A cookie is a small file containing an identity code. With your consent, your computer accepts the cookie and stores it. When you next visit the Site, the code is retrieved, allowing an individual visitor or computer to be recognised. We may use cookies in order to facilitate your future visits on the Site. You consent to the use and acceptance of cookies.

We are not responsible or liable for the content, privacy policies or services offered by websites other than the Site, including those which link from the Site. We encourage you to read and familiarise yourself with the privacy policies, terms and conditions and/or other notices on other websites you visit.

We may use Internet tags and cookies provided by this firm and added to the web pages. We gather only information pertaining to your behaviour on our Site, such as the pages you visit; no personal information is gathered. We do not review or approve outside sites that are or may be linked to this Site.  Links from or to internet web sites outside this Site are meant for convenience only and you access them at your own risk. These links should not be construed as an endorsement, a guarantee or a recommendation of the products or services offered on those sites. We expressly disclaim any liability of any nature whatsoever arising directly or indirectly from other sites connected to the Site by hyperlink.

17. LIMITATION OF LIABILITY.  All Content found or accessed on this Site is provided on an “AS IS” basis and without warranties of any kind, either expressed or implied. We completely disclaim all liability arising from the use of the Content contained on this Site by you. Further, and without limiting the generality of the foregoing, in no event shall we be liable for any direct, indirect, incidental, consequential or special damages, losses, claims or expenses arising out of the use of the information herein, or in any way connected with access to or use of the Site.  Without limiting the foregoing, we do not represent or warrant that the use of the Site and, including the browsing and downloading of any Content, will be free of viruses, Trojan horses, worms or other destructive or disruptive components.  You acknowledge and agree that is it up to you to ensure that you have a complete and current backup of the information contained on your computer system prior to using the Site and that you will take reasonable precautions to scan for computer viruses, worms, Trojan horses, and other items of a destructive nature when using this Site. We are not responsible for, and accept no liability for any costs, losses, damages or work associated with any kind of hacking, other online attack, data loss or third party failure, including but not limited to denial of service attack, data loss, business loss related to Site unavailability, damages, etc.

18. We do warrant the completeness, timeliness or accuracy of any of the data, information and/or programs available at this web site. To the fullest extent permitted by law, the information is provided “as is” without warranty of any kind, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, title or non-infringement.

19. In no event will theRIPregistry or its affiliates be liable to any party for any direct, indirect, special or other consequential damages for any use of or reliance upon the information found at this web site, or on any other linked web site, including, without limitation, lost profits, business interruption, loss of programs or other data, even if theRIPregistry is expressly advised of the possibility of such damages

20. LINK POLICY.  You are granted a limited, non-exclusive right to create a hypertext link to this Web Site found at www.theRIPregistry.com provided such link does not portray theRIPregistry and/or its affiliates or any of their respective products and services in a false, misleading, derogatory or otherwise defamatory manner. This limited right may be revoked at any time. You may not use, frame or utilize framing techniques to enclose any theRIPregistry trademark, logo or other proprietary information, including the images found at this Web Site, the content of any text or the layout/design of any page or form contained on a page without theRIPregistry’s express written consent. Except as noted above, you are not conveyed any right or license by implication, estoppel, or otherwise in or under any patent, trademark, copyright, or proprietary right of theRIPregistry or any third party.

21. Comments, suggestions or materials sent or transmitted to us (collectively “Feedback”), shall be deemed to be non-confidential. Subject to the conditions described on the privacy page of this Web Site, we shall have no obligation of any kind with respect to such Feedback and shall be free to use and distribute the Feedback to others without limitation, including, but not limited to developing and marketing products incorporating such Feedback.

22. ACCURACY OF DATA. theRIPregistry does not warrant the accuracy of any data in its system, or the accuracy of any Product or report. All information about individuals or any Product or report is/was provided by individuals, users or Members.  theRIPregistry does not review, check or verify the accuracy of any information provided by its Members (past or present) or other users.

23. MISCELLANEOUS. It is understood and agreed that all paragraph headings have been inserted herein for convenience of reference only and do not form part of this Agreement.

This Agreement shall enure to the benefit of and be binding upon the parties and their respective heirs, executors, administrators, successors and assigns, as the case may be.

All words importing the masculine gender only shall include the feminine gender and the neuter (as appropriate) and vice versa. All words importing the singular shall include the plural and vice versa.

Privacy Policy

theRIPRegistry is committed to protecting the personal information under our control.  This privacy policy (“Privacy Policy” or “Policy”) is published to inform you of the practices and procedures of theRIPRegistry in the maintenance, collection use and disclosure of your personal information. This Policy is subject to change at any time, and all further changes will be published on our website.

“Personal Information” includes your name, date of birth, marital status, current/former address(es), marital status, social insurance number, insurance policies, other policies and plans, investments, pension plans, bank accounts and their locations, investment accounts or information, identifying information, or any other information of a personal nature provided to us during our intake process, correspondence and other communications.  We do not require your full bank account details.

Use of Personal Information

Once you have registered with us, we will store information and data until accessed by your designated recipients and your report is provided to them via an access authorization code. Your designated recipient will go thru a strict vetted process prior to any authorization code being released. An administration fee $200 is applicable. Your basic contact information (i.e. name, address, phone number and email) may be shared with our partners to provide you with additional services.

Rights to Access and Correct Personal Information

You are entitled to receive your Responsible Individual Portfolio “RIP“ report at no charge once you have signed up as a member, and your account is in good standing.  We encourage all consumers to review their RIP report at least once annually. By doing this, you can ensure that your report contains up-to-date information.

Safeguarding your Personal Information 

theRIPregistry maintains strict security safeguards when storing or destroying your Personal Information in order to prevent unauthorized access, collection, use, disclosure, copying, modification, disposal or similar risks.  We review our systems to ensure they meet accepted current standards.  We also limit the number of employees who may access your personal information on a need-to-know basis: reports can only be generated or information accessed by those employees with a need-to-know basis.  Only employees can conduct investigations to verify and correct your information and determine who would have access to your personal information.  We conduct due diligence on, and impose the same high standards that we implement internally for, our members who are permitted to access your information from us.

Consent and Withdrawal 

If you are a current customer of theRIPregistry, you will have consented to the storage of your personal information as part of the signup and intake process.  By signing up, you also consented to receive communications from theRIPregistry.  If you wish to unsubscribe or withdraw your consent, please contact us via email at: management@theRIPregistry.com.
